Affiliate Program Terms

1. Program Overview

The Smart Shamba Affiliate Program ("Program") allows approved individuals and organisations ("Affiliates") to earn commissions by referring paying subscribers to Smart Shamba livestock tracking services. Participation is subject to these terms and the general Smart Shamba Terms of Service.

2. Eligibility

• You must be at least 18 years of age.
• You must have a valid M-Pesa number registered in your name for payout purposes.
• Employees and contractors of Smart Shamba Technologies are not eligible.
• Smart Shamba reserves the right to approve or decline any application.

3. Commission Structure

Affiliates earn a flat 20% one-time commission on the first successful subscription payment made by a referred subscriber on the Shamba Pro plan (KES 3,500/month). This equates to KES 700 per qualifying referral.

• Commission is paid once per referred subscriber, upon their first successful Pro plan payment.
• Referrals who subscribe to the Basic plan (KES 1,500/month) do not qualify for commission.
• If a referred subscriber upgrades from Basic to Pro after their initial sign-up, commission becomes payable upon their first successful Pro payment, provided the referral is still within the 30-day attribution window.
• No commission is earned on renewals, subsequent billing cycles, or annual plan payments beyond the first payment.

4. Referral Attribution

• Attribution is tracked via your unique referral code appended to the Smart Shamba sign-up URL.
• A referral is attributed to you if the subscriber registers and completes their first payment within 30 days of clicking your link.
• Each subscriber can only be attributed to one affiliate. The first valid click wins.
• Self-referrals (signing up through your own link) are strictly prohibited and will result in account suspension.

5. Payouts

• Commissions are paid on the 5th of each month for qualifying referrals confirmed in the previous calendar month.
• Payouts are sent to the M-Pesa number registered on your affiliate account.
• A minimum balance of KES 700 (one qualifying referral) is required for payout. Balances below this amount roll over to the next month.
• Smart Shamba is not responsible for M-Pesa transaction failures caused by incorrect or inactive phone numbers. Ensure your M-Pesa number is current and active.

6. Prohibited Conduct

The following activities are strictly prohibited and may result in immediate suspension and forfeiture of outstanding commissions:

• Spam - sending unsolicited bulk messages via email, SMS, WhatsApp, or any other channel.
• Misleading claims about Smart Shamba products, pricing, or features.
• Paid advertising using Smart Shamba trademarks without prior written approval.
• Creating fake accounts or referrals.
• Offering cash-back, rebates, or side incentives to referred subscribers.

7. Programme Changes and Termination

Smart Shamba reserves the right to modify commission rates, payout schedules, or these terms at any time with 30 days' written notice sent to your registered email address. Smart Shamba may terminate your participation immediately for breach of these terms or for any reason with 14 days' notice. Upon termination, commissions already earned on completed payments will be paid out on the next scheduled payout date; future commissions will not accrue.

8. Intellectual Property

Smart Shamba grants you a limited, non-exclusive, revocable licence to use our name, logo, and approved marketing materials solely for the purpose of promoting the Program. You may not alter, distort, or use the brand in a manner that could cause confusion or damage to Smart Shamba's reputation.

9. Governing Law

These terms are governed by the laws of Kenya. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
